Terms of Service

These Terms of Service codify the operational commitments we describe in our Playbook. The Playbook is the canonical description of how we work; this page is the legal expression of that same agreement.
1. Agreement to Terms
By accessing or using AsyncForge's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
AsyncForge provides subscription-based software development services. Every line of code is written by a vetted senior engineer — no juniors, no offshore outsourcing. You submit tasks through your Kanban dashboard and we work on one task at a time, in the priority order you set. Meetings are optional.
3. Free Trial
Every plan starts with a 7-day free trial. An invoice is issued at the start of the trial. You have 7 days to pay it; during those 7 days we are already working on your project. If the invoice is paid within 7 days, your subscription continues seamlessly. If it is not paid within 7 days, the trial ends with no further obligation on either side.
4. Subscription, Billing, Pause, and Cancellation
- Subscriptions are billed in advance at the start of each billing period.
- All prices are listed excluding VAT; VAT is applied based on your location.
- If payment is not received on time, work stops until it is settled.
- You may pause your subscription at any time. A pause takes effect at the end of the current billing period; we continue working until then. When you resume you pay that day and a new period starts. Pausing places you at the back of the queue — if we are at capacity when you want to resume, you go on the waitlist until a slot opens.
- You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds.
- We reserve the right to change pricing for future periods with at least 30 days notice.
5. Capacity and Waitlist
AsyncForge intentionally limits the number of active projects at any given time to guarantee quality. When we are at capacity, new clients are placed on a waitlist and notified as soon as a slot opens.
6. Intellectual Property
All code, designs, and deliverables produced by AsyncForge during your subscription are fully owned by you from the moment they are delivered. AsyncForge retains no rights to anything built for your project. Third-party accounts and services we set up for you are created in your name and remain fully under your ownership.
7. Deployment and Git Workflow
We follow Git flow: a main development branch and a separate feature branch per task. On every task, you choose between "Let me test this before deployment" (we deploy to staging for your review before pushing to production) and "Deploy this for me" (we test internally and deploy straight to production).
8. Confidentiality, NDAs, and Conflicts of Interest
Everything you share with us is treated as confidential and is not shared outside of AsyncForge. If your project requires a formal Non-Disclosure Agreement, we are happy to sign one — send it over and we will review and sign without hassle.
If a potential new client approaches us whose business closely resembles yours in a way that could create a conflict of interest, we will reach out to you first before taking them on. We only proceed if you are comfortable with it.
9. Acceptable Use
You agree not to use our services to:
- Develop software that is illegal, harmful, or violates third-party rights
- Submit requests that involve reverse engineering or cloning existing products
- Share your account credentials with unauthorized parties
- Resell or redistribute our services without authorization
10. Revisions and Quality
Your subscription covers unlimited revisions on any delivered task. If a task falls outside our core expertise, we are transparent about it: we may bring in a trusted senior engineer from our network, or if we cannot guarantee the quality, we will tell you clearly and decline the work rather than deliver something subpar.
11. Liability
We deliver software on a best-effort basis. Bugs happen, edge cases get missed, and software development always carries a degree of uncertainty.
AsyncForge is not liable for any damages, direct or indirect, that may result from the work we deliver. This includes but is not limited to loss of revenue, data loss, downtime, or any other business impact. By working with us, you acknowledge that all software is delivered on a best-effort basis and that financial liability rests with you as the owner of the product and the decisions made around it. If something goes wrong, we will do everything we can to fix it as quickly as possible — that commitment is backed by unlimited revisions.
12. Termination and Handoff
Either party may terminate the subscription at any time (see Section 4). On termination, all code, repositories, and assets remain yours. We will support a handoff to an internal team or another party — let us know in advance and we will prepare documentation or a handover session as needed.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be resolved in the courts of the Netherlands.
